[:pl]Zmiany w składzie Rady Nadzorczej MLP Group S.A.
Zarząd MLP Group S.A. („Spółka”) informuje, że dnia 21 grudnia 2017 r. otrzymał oświadczenie Pana Yosef Zvi Meir, Członka Rady Nadzorczej Spółki, o rezygnacji ze stanowiska Członka Rady Nadzorczej z dniem 31 grudnia 2017 roku. Pan Yosef Zvi Meir nie podał przyczyn swojej rezygnacji.
W dniu 21 grudnia 2017 roku Zarząd Spółki otrzymał informację, że jeden z akcjonariuszy spółki, Cajamarca Holland B.V. z siedzibą w Delft, Holandia, w wykonaniu uprawnień przysługujących mu na podstawie statutu Spółki, powołał Pana Daniel Nimrodi na Członka Rady Nadzorczej Spółki. Pan Daniel Nimrodi został powołany na stanowisko Członka Rady Nadzorczej Spółki ze skutkiem od dnia 1 stycznia 2018 r.
Pan Daniel Nimrodi dołączył do The Israel Land Development Company Ltd. („ILDC”) w roku 2016 jako Urban Renewal Manager of ILDC Group oraz Wiceprezes spółki The New Community Ltd. – spółki zależnej od ILDC.
Pan Daniel Nimrodi ma tytuł LL.B w dziedzinie prawa, specjalizacja – Międzynarodowe prawo handlowe, oraz licencjat w zarządzaniu biznesowym.
Doświadczenie zawodowe Pana Daniel Nimrodi zawiera również pełnienie roli Project Managera w rozpoczynającej działalność spółce, która koncentrowała się na wywieraniu wpływu w dużej skali, compliance, analizie biznesowej oraz wywiadzie strategicznym i biznesowym, Pan Daniel Nimrodi pełnił również funkcję Junior Associate w Departamencie Karnym Centralnego Obwodu w Ministerstwie Obrony Izraela.
Zarząd informuje również, że zgodnie z oświadczeniem P. Daniel Nimrodi, nie prowadzi on poza przedsiębiorstwem Spółki działalności, która jest konkurencyjna wobec działalności Spółki, jak również nie uczestniczy w spółce konkurencyjnej jako wspólnik spółki cywilnej, spółki osobowej lub jako członek organu konkurencyjnej spółki kapitałowej lub członek organu jakiejkolwiek konkurencyjnej osoby prawnej oraz nie jest wpisany w Rejestrze Dłużników Niewypłacalnych, prowadzonym na podstawie przepisów Ustawy o Krajowym Rejestrze Sądowym (KRS).

§5 ust. 1 pkt 21) oraz 22) Rozporządzenia Ministra Finansów z dnia 19 lutego 2009 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim (Dz.U. z 2014 r. poz. 133).

The Management Board of MLP Group S.A. (“Company”) hereby reports that on 21 December 2017 it received a statement from Mr. Yosef Zvi Meir, Member of the Company’s Supervisory Board, concerning his resignation from the position of a Supervisory Board Member, effective as of 31 December 2017. Mr. Yosef Zvi Meir did not provide the reasons for his resignation.
On 21 December 2017, the Management Board was informed that one of the Company’s shareholders, Cajamarca Holland B.V. with its registered office in Delft, the Netherlands, exercising the powers conferred on it under the Company’s Articles of Association, appointed Mr. Daniel Nimrodi to the position of Member of the Company’s Supervisory Board. Mr. Daniel Nimrodi was appointed Member of the Company’s Supervisory Board effective as of 1 January 2018.
Mr. Daniel Nimrodi joined The Israel Land Development Company Ltd. (“ILDC”) in 2016 as Urban Renewal Manager of the ILDC Group and Vice-President of The New Community Ltd., a subsidiary of ILDC.
Mr. Daniel Nimrodi is the Bachelor of Law specializing in international commercial law and holds an associate degree in business management.
Professional experience of Mr. Daniel Nimrodi also includes acting as Project Manager in a start-up company focusing on large-scale influence, compliance, business analysis and strategic and business intelligence. Mr. Daniel Nimrodi also served as Junior Associate in the Central Circuit Criminal Department at the Ministry of Defense of Israel.
The Management Board also reports that, according to information obtained from Mr. Daniel Nimrodi, he does not conduct any business outside the Company’s business that is competitive to the Company’s business and he is not a participant in a competitive company as a partner in a civil law company or partnership or as a member of a corporate authority of a competitive company or as a member of a corporate authority of any competitive legal person and is not entered in the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register (KRS).
