MLP Group S.A. gibt die Preissetzung der Senior Green Notes mit Fälligkeit 2029 bekannt
Die MLP Group S.A. hat den Emissionspreis für ihr Wertpapierangebot in Höhe von 300 Millionen Euro für 6,125 %ige Senior Green Notes mit Fälligkeit im Jahr 2029 auf einen Betrag festgesetzt, der 100,000 % des Gesamtnennbetrags entspricht.
Die Zinsen sind halbjährlich zu zahlen.

Das Unternehmen beabsichtigt, einen Betrag in Höhe des Nettoerlöses aus dem Angebot für die Finanzierung und Refinanzierung seiner förderungswürdigen Vermögenswerte und Ausgaben (die „Eligible Green Assets“) zu verwenden, die die in seinem Rahmenwerk für umweltfreundliche Finanzierungen festgelegten Förderkriterien erfüllen. Bis zur vollständigen Zuteilung eines Betrags in Höhe des Nettoerlöses aus dem Angebot an die förderfähigen Green Assets beabsichtigt das Unternehmen, den Bruttoerlös aus dem Angebot zu verwenden, um (i) ausstehende Beträge aus bestimmten vorrangig besicherten Darlehensverträgen teilweise zurückzuzahlen, (ii) bestimmte neue Erschließungen zu finanzieren, (iii) bestimmte Grundstückserwerbe zu finanzieren, (iv) Barmittel in die Bilanz des Unternehmens zu bringen und (v) Gebühren und Aufwendungen im Zusammenhang mit dem Angebot zu bezahlen.

Das Angebot wird voraussichtlich am oder um den 9. Oktober 2024 abgeschlossen, vorbehaltlich der für ähnliche Transaktionen üblichen Vorabbedingungen. Im Zusammenhang mit dem Angebot können die Erstkäufer Stabilisierungsmaßnahmen ergreifen, um den Marktpreis der Schuldverschreibungen auf einem höheren Niveau zu stützen, als dies sonst der Fall wäre. Alle Stabilisierungsmaßnahmen müssen in Übereinstimmung mit allen anwendbaren Gesetzen und Vorschriften erfolgen.

Die Gesellschaft beabsichtigt, die Notierung der Schuldverschreibungen an der Luxemburger Börse sowie die Zulassung zum Handel am Euro MTF Markt der Luxemburger Börse zu beantragen. Es wurde kein Börsenzulassungsprospekt erstellt, verteilt oder genehmigt.
